You introduce a buyer, arrange discussions, and help move the transaction towards signing. The developer accepts the sale. When you submit your commission invoice, however, the response changes: the account is reviewing it, the buyer allegedly came directly, or your introduction was never recorded.
For a brokerage that has invested time and money in securing the deal, this is more than an administrative delay. A broker commission dispute Dubai brokerage firms face often turns on three questions: who agreed to pay, when payment became due, and whether the broker’s work led to the sale.
Registration matters, but recovering commission also requires a clear contractual and evidential basis.
What Establishes Your Right to Commission?
Dubai’s Bylaw No. 85 of 2006 requires a written brokerage agreement identifying the parties, property, and brokerage terms. Remuneration is determined by agreement or, where no amount is agreed, prevailing practice.
Under Article 28, entitlement generally arises when the sale contract is signed and registered with the Dubai Land Department, unless the brokerage agreement provides otherwise. An agreed condition affecting entitlement must also be fulfilled. Article 33 addresses payment by the party appointing the broker.
Start by reading the actual developer agreement. Does it make commission payable after signing the sale and purchase agreement, receiving a specified buyer payment, or another milestone? A completed booking and a commission that is legally due are not necessarily the same thing.
For developers marketing projects through brokers, Article 10 of Executive Council Resolution No. 6 of 2010 also addresses broker approval, licensing, and registration of the project marketing agreement with DLD. Check these requirements alongside the payment terms.
Identify the Correct Party Before Demanding Payment
A project’s brand name might appear throughout the marketing material, while a different company signed the brokerage agreement. The sales team, developer entity and marketing agency could each have distinct roles.
Check the full legal name on the agreement, the authority of the person who signed it, and the entity that acknowledged the commission. Also establish whether the contractual claimant is your brokerage company or you personally.
An invoice addressed to the wrong company creates an avoidable distraction. Before escalating, make sure the proposed claim connects the correct claimant, contracting party and transaction.
What If the Developer Says the Buyer Came Directly?
This is where the transaction history becomes valuable.
Suppose you introduced the buyer in March, arranged a project presentation, and discussed a particular unit. In April, the buyer contacted the developer’s sales team directly and signed. The developer now argues that its staff closed the deal.
That explanation needs to be tested against the agreement and the records. Did the developer acknowledge your introduction? Was the buyer already registered through another source? Did your agreement protect introduced buyers for a defined period?
Prepare a dated sequence showing the introduction, meetings, negotiations, and eventual purchase. A real estate lawyer Dubai brokers consult for payment disputes should examine both the contractual introduction rules and the evidence connecting your work to the sale.
Being the first person to mention a project does not, by itself, settle every commission claim.
Gather Evidence Before Correspondence Disappears
A useful claim file should include:
- The signed brokerage agreement and commission schedules.
- Your brokerage license and relevant broker registration records.
- Buyer registration submissions and developer acknowledgements.
- Emails, complete WhatsApp conversations, and meeting records.
- Available booking documents, sale agreements, and payment confirmations.
- The invoice, commission calculation, and payment follow-ups.
Keep original files and full conversations wherever possible. A cropped screenshot might omit a qualification, attachment, or earlier discussion that changes its meaning.
Pay particular attention to messages acknowledging payment. “Your commission is approved” raises different questions from “We will review eligibility after the buyer’s next instalment.”
For an unpaid broker commission UAE claim, organise what is established separately from what still needs verification. This makes negotiations more focused and helps identify weaknesses before proceedings begin.
Ask for a Specific Written Explanation
Repeated calls to the sales manager rarely resolve a disputed entitlement. Request a written explanation identifying why payment is being withheld and which contractual provision the developer relies on.
Is the objection an unmet payment milestone, competing buyer registration, missing documentation, or alleged misconduct? Each requires a different response.
DLD’s guidance recognises circumstances in which brokers lose commission rights, including certain conflicts of interest and lack of licensing. Registration therefore does not remove the need to assess compliance and conduct.
If payment appears due, a formal demand should identify the agreement, transaction, amount claimed, relevant milestone, and supporting documents. Set a reasonable response deadline consistent with any contractual notice provisions.
Choose the Recovery Route Carefully
Before filing anything, review the dispute resolution clause. The agreement might specify court jurisdiction, arbitration, or a preliminary negotiation process.
A regulatory complaint and a claim for payment serve different purposes. Check whether the relevant DLD or RERA channel accepts the issue, and whether separate proceedings are needed to obtain an enforceable payment decision.
A property dispute lawyer Dubai brokerage firms should instruct them to assess jurisdiction, evidence, likely costs and the developer’s defenses before recommending escalation. The amount outstanding matters, but so does the commercial value of settlement.
If instalments are proposed, record the acknowledged debt, payment dates and consequences of default clearly. Do not leave the arrangement as another informal promise.
Get the Agreement and Evidence Reviewed Together

If a developer has accepted your buyer’s purchase but withheld commission, seek a review of the agreement and transaction records before accepting a rejection or revising your invoice.
